We are looking for an experienced Corporate Paralegal to join our legal team in Dallas, Texas. This role is essential in supporting attorneys within the corporate section of the firm, focusing on entity formation, corporate governance, transactional closings, and ensuring compliance with legal requirements. The ideal candidate will bring a proactive approach, exceptional organizational skills, and knowledge of corporate legal practices in a law firm setting.
Responsibilities:
- Prepare and file formation documents for corporations, limited liability companies, and partnerships across various jurisdictions.
- Manage and maintain corporate records, including minute books, stock ledgers, and entity management databases.
- Draft and file annual reports, amendments, qualifications, dissolutions, mergers, and other corporate filings.
- Assist with due diligence by conducting searches, reviewing corporate documents, and summarizing contracts.
- Coordinate transactional closings by preparing closing binders, signature pages, and organizing document execution.
- Conduct legal research using government databases, such as the Secretary of State's website.
- Draft and file financing statements and amendments to ensure compliance with filing deadlines.
- Communicate with clients, registered agents, and government agencies to obtain and deliver necessary information.
- Support attorneys by tracking timelines, deliverables, and preparing board and shareholder resolutions.
- Ensure entities remain in good standing across jurisdictions and assist with meeting minutes and consents.

Requirements
- Bachelor's degree, Paralegal Certificate, or equivalent relevant experience preferred.
- Minimum of 5 years of corporate paralegal experience, ideally within a mid-to-large law firm.
- Strong understanding of corporate law, entity structures, and state-specific filing procedures.
- Proficiency in Microsoft Office Suite and document management software such as NetDocs.
- Exceptional attention to detail and commitment to accuracy in all tasks.
- Proven ability to manage multiple priorities and meet deadlines in a fast-paced environment.
- Excellent organizational, analytical, and communication skills.
- Ability to maintain confidentiality and exercise sound judgment in sensitive situations.
